Terms and Conditions
1. Introduction
These Terms and Conditions (“Terms”) govern the access to and participation in all services,
certifications, initiatives, programs, events, and communications administered by the
Canada-United States-Mexico Chamber of Commerce Council (“CUSMEX,” “we,” “us,” or
“our”).
By accessing or engaging with CUSMEX, certified companies, partners, and participants (“you”
or “your”) accept and agree to be legally bound by these Terms, as amended from time to time.
2. Eligibility and Certification
Access to CUSMEX’s programs, events, and certifications is exclusively reserved for companies
that have been duly certified by CUSMEX or otherwise approved by our governing bodies.
CUSMEX reserves the absolute right to assess and determine eligibility, certification standards,
and participation criteria at its sole discretion.
3. Data Protection and Confidentiality
CUSMEX is committed to protecting your personal and corporate information.
All data collected is managed in accordance with our Privacy Policy, and no information will be
disclosed to any third party without your prior explicit consent, unless legally required.
Certified companies and participants agree to maintain the confidentiality of any privileged
information obtained through their engagement with CUSMEX.
4. Intellectual Property Rights
All materials provided by CUSMEX, including but not limited to logos, reports, studies,
methodologies, presentations, and digital content, are the exclusive intellectual property of
CUSMEX or its licensors.
No reproduction, distribution, modification, public display, or other unauthorized use is permitted
without the prior written consent of CUSMEX.
5. Engagement and Conduct
Certified companies and participants agree to:
● Act with the highest standards of professionalism and ethics.
● Represent their businesses accurately and fairly during participation in CUSMEX
activities.
● Refrain from any conduct that may harm the reputation, operations, or interests of
CUSMEX or its affiliates.
CUSMEX reserves the right to suspend or expel any participant or company whose behavior
violates these Terms or undermines the integrity of CUSMEX activities.
6. Fees, Payments, and Refunds
Certain certifications, events, and services may require the payment of fees.
All fees must be paid in full in accordance with the payment terms specified at the time of
registration or engagement.
Unless otherwise stated, all fees are non-refundable. Failure to comply with payment
obligations may result in revocation of certification or denial of participation.
7. Limitation of Liability
While CUSMEX strives to provide high-quality services and reliable information:
● Participation in CUSMEX programs and use of its services are at your own risk.
● CUSMEX shall not be liable for any direct, indirect, incidental, consequential, or special
damages arising from your engagement with CUSMEX, except where prohibited by
applicable law.
● CUSMEX’s maximum aggregate liability, in any case, shall be limited to the fees paid by
you for the specific service giving rise to the claim.
8. Compliance with Laws and Regulations
You agree to comply with all applicable laws, rules, and regulations in connection with your
activities involving CUSMEX, including but not limited to trade, data protection, and
anti-corruption laws.
9. Termination of Participation
CUSMEX reserves the right to terminate or suspend any company’s certification, participation,
or access to its services immediately, with or without cause, if:
● These Terms are breached;
● False or misleading information has been provided;
● Actions are taken that harm the credibility, interests, or operations of CUSMEX.
Such termination shall not entitle you to any refunds or damages.
10. Amendments
CUSMEX may revise or update these Terms at any time at its sole discretion.
All modifications will be effective upon posting the updated Terms on our official channels.
Continued participation or use of services after such updates constitutes acceptance of the
revised Terms.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of
Alberta, Canada without regard to its conflicts of law principles.
Any disputes arising out of or in connection with these Terms shall be resolved exclusively
before the competent courts located in [Toronto, Ontario], and you irrevocably submit to the
jurisdiction of such courts.
